2. Payment Terms

Various payment methods may be available to purchasers, such as paying via credit/debit card, ACH or check. Available methods for specific products will be listed in checkout screens.

A. Pay by Check

“Pay by Check” is a feature that may be available when purchasing through GSM, allowing purchasers to complete their transaction and request an invoice that must be paid NET30 (within 30 days of the invoice date).

Invoices may be paid by mailing a check to the address stated on the invoice or by requesting a payment link to pay the invoice online via credit card. GSM may also accept payment via ACH through your entity’s vendor payment system – please contact us.

B. Late Payments

Late check payments may be assessed a late fee and accounts past due over 90 days may be sent to collections. Please contact us immediately if you have any questions or concerns about your entity’s ability to pay for your order.

Purchasers who pay late may not be eligible to make other purchases through GSM, be allowed to participate in our events, obtain a refund, or transfer or convert a ticket until the past due amount is paid in full.

For Events, if you cancel a Pay by Check order for any Event Purchase, we may assess a $50 processing fee.

C. Refund Processing

Full and partial refunds are subject to approval by Government Social Media LLC and will only be issued to the original purchaser. Approved refunds will be processed within 30 days of the approved request. Credit or debit card purchases will be refunded via our payment processor to the card used to make the purchase. Purchases paid by check will be refunded by check and mailed to the original purchaser.

Special refund deadlines and fees apply to our Events and are explained in Sections 3E-3Q.

Association Membership and Virtual Tickets are nonrefundable. GSM products that are nonrefundable will be identified as such on their specific product page.

D. Vendor Payment Systems & Additional Requirements

While purchasers may request that GSM complete additional paperwork, PDF or online forms, certified or notarized statements, vendor registration or purchase order processes identified by your entity in order for your entity to process your purchase and remit payment, you understand that while GSM will make reasonable efforts to review and oblige to requests, doing so is at GSM’s discretion and GSM does not guarantee we will be able to comply with your request. In the event GSM does not elect to complete the additional requirements referenced above, GSM will inform you as soon as possible.

3. Events

Purchasers, participants and transferees, and You expressly, must agree to the following terms. Official sponsors and/or exhibitors must also follow any terms & conditions specified in their agreement(s), and Speakers, Hosts, Emcees and Volunteers must also follow any terms & conditions specified in their agreement(s).

A. About GSM Events

“Events” refers to any conference, convention, masterclass, summit, meetup or other organized gathering hosted on specific date(s) and organized in full or part by GSM.

Events may be in-person, virtual-only or hybrid (in-person and virtual). In-Person Tickets are for physical attendance at a GSM event. Some levels of In-Person Tickets may include virtual access as a ticket feature, which is not considered a separate Virtual Ticket.

B. Event Communications & Privacy

Participants will receive transactional emails and may receive marketing emails from GSM and event sponsors. We may use event photos, videos and screenshots, which may include your appearance as a participant, speaker or sponsor, in any GSM promotional or marketing materials or products. Our Privacy Policy states how we collect, protect and use this information and should be reviewed prior to registering for any event.

C. Personal & Financial Data Security

Any personal information or data supplied to GSM as part of the registration and/or purchase process will be collected, stored and used in accordance with our Privacy Policy. Credit card information will be processed via a secure third party service and is not retained by Government Social Media LLC.

D. No-Show Policy

An event “No-Show” is an individual who does not submit a Refund, Transfer or Conversion request and who does not physically show up to an in-person event as an In-Person Ticket holder, or who does not participate virtually as a Virtual Ticket holder. Virtual participation is defined as signing into the event platform and/or viewing any sessions. No-Shows are not eligible for a refund and remain responsible for paying for their ticket even if paying by check. By the time of the event, many expenses have already been paid on a ticket holder’s behalf to the venue, platform provider and/or third parties.

I. Event Cancellation & Rescheduling

We reserve the right to reschedule, postpone or cancel any event, whether or not due to events beyond the control of the conference organizers (including but not limited to events known as force majeure, which include epidemics, pandemics, virus and disease outbreaks, natural disasters, earthquakes, tornadoes, floods, fires, severe weather, terrorist attacks, curtailment of transportation facilities) or due to other events which are not attributable to wrongful intent or gross negligence of the conference organizers. GSM and/or the event organizers, owners and employees cannot be held liable for any damages, costs, or losses incurred, including but not limited to transportation costs, accommodation costs, and financial losses, resulting from any rescheduled, postponed, or canceled event.

In addition, you acknowledge and agree that you have no right to lodge damage claims against GSM and/or the event organizers should you not be able to attend the event due to cancelled or delayed travel means which affect you.

Subject to these Terms & Conditions, GSM and the conference organizers reserve the right to retain the entire payment for registration, or to reimburse the purchaser for a portion of the ticket price, to be solely determined by GSM. You understand and agree that as the event gets closer, many costs, including operating expenses, have already been expended in planning the event, and that event revenues may be used year-round for event planning. It is therefore recommended that you take out personal insurance. Travel insurance is not included, and participants are therefore advised to take out their own travel insurance and to extend their policy to cover personal possessions as the conference does not cover individuals against cancellations or theft or damage to belongings.

Canceled Event Refunds
If an event must be canceled (such as, for example only, during an epidemic) and if refunds are due according to the Deadline Schedule, a process to collect refund requests will be instituted within 30 days. Once a refund request has been submitted using this process, GSM will process refunds within 30 days of receipt. GSM may institute a deadline period during which the canceled event refund requests must be made.

J. Travel Cancelation Insurance

If an illness, injury or another unexpected event forces you to cancel your plans before you leave, cut your trip short or delay your return home, you could lose your full prepayment for accommodations or registration costs. We therefore highly recommend purchasing a “Travel Cancelation and Interruption Coverage Insurance” in case of emergency as a financial protection for you.

K. Changes to Program

Speakers, topics and time slot changes are common and may occur in the program. GSM will not be held liable for such changes, although we will try to secure other speakers to participate in the program. Changes to the event lineup will not make a ticket eligible for a refund outside of the published refund eligibility and requirements stated in Section 3E.

L. No Solicitation

Non-sponsor attendees may not actively solicit services, products, or other business to any participants, including passing out marketing material, arranging events, including through the Event Platform via messages, chats, and other interactive features such as video meetings. Vendors may register as official event sponsors or exhibitors. Sponsors and exhibitors are also bound by the rules of their sponsorship agreement.

M. Videotaping/Recording by Participants

No sessions or any part of the event program (including, but not limited to, general sessions, keynotes, award program, workshops, speed sessions and breakout sessions) may be video or audio recorded by any event participant (whether recording for personal use or for social media), unless explicitly given permission for a particular segment by GSM event organizers during on-stage announcements, via the event platform or email, or similar. However, in-person attendees may record or livestream original video, podcasts or interviews in other physical areas of the conference, such as in the exhibit hall or in common areas, or before the start of sessions or after sessions conclude, as long as doing so does not interfere with other participants, speakers, sponsors or event operations. You agree to observe the foregoing restrictions.

N. Event Participant Code of Conduct

All attendees, speakers, sponsors, media and staff must be considerate and respectful of others. GSM reserves the right to revoke, without refund, the badge and right to participate of any attendee in violation of any of our Terms & Conditions, policies or any policies of the venue where events are held. Speakers and sponsors also have additional conduct terms outlined in separate agreements.

O. Venue

Attendees are responsible for reserving and covering the cost of hotel room nights and related taxes and fees on their own separately from GSM event registration. The hotel will have its own policies for reservation, cancellation and changes. Event attendees are solely responsible for any damage they cause to the venue by themselves or their guests and GSM will not be held liable.

P. Liability Waiver

You confirm that you will participate in any event activities at your own risk. Accordingly, you hereby waive to the fullest extent permitted by applicable law any liability of, and claims or demands against, GSM or its officers, members, managers, directors, employees, volunteers, contractors, or agents (collectively, “GSM Released Parties”) relating to or arising out of any event activities or activities related thereto. Without limiting this waiver, you agree that the GSM Released Parties shall have no liability to you, under any legal theory whatsoever, whether based upon claims of contract, tort, statute or otherwise, except to the extent that such claims cannot be waived as a result of public policy. Without limiting the foregoing, this waiver includes a waiver of any claims and demands against, and liability of, the GSM Released Parties for damages, including but not limited to direct, indirect, special, incidental, consequential and punitive or exemplary damages to the fullest extent permitted by law. In addition, to the fullest extent permitted by law, the aggregate liability of the GSM Released Parties (individually and collectively) to you, if any, for any and all causes not subject to the foregoing waiver is limited to $25,000. Finally, you agree that, to the fullest extent permitted by law, you assume all risk arising from your participation in any event activities, and you agree to indemnify and hold the GSM Released Parties harmless from and against any claims made against the GSM Released Parties arising from any acts or omissions of your own, including without limitation acts or omissions that occur in connection with your participation in any event activities.

Q. On-Demand Session Recordings Disclaimer

In addition to the general terms above, ticket holders with a ticket level that includes access to on-demand session recordings must also understand and agree that:

Post-conference access to view recorded sessions online, when included as a feature of an event ticket, will be available within 10 business days after the event and will be available to view online for 3 months. GSM will publish any video, audio and supporting materials provided to us by speakers. Videos are not downloadable. On-demand sessions are available as-is. Videos will be hosted via Vimeo or similar service and available via password protected webpage. It is the responsibility of the participant to ensure their computer, internet connection and/or network are sufficient to watch the online videos.

On-demand recordings include access to recordings of most of the keynotes and general sessions. Workshop recordings, when available, may be available for an added fee. Breakout sessions may be audio-only, edited with speaker slides. PDFs of speaker slides may be available for download. On-demand content is for your educational use only and you do not have permission to share publicly, re-sell any of the content or share your login credentials with others. You may not edit, modify, or redistribute the session recordings or materials provided during the event without explicit consent from both the presenter(s) and GSM.

Should GSM be unable to make available the majority of the recordings of the event, GSM will initiate a refund of any Virtual Ticket. There will be no further remunerations or monies owed. Technical malfunction for any reason causing some recordings not to be published will not be cause for GSM to initiate a refund. No refunds will be issued under any circumstances for on-demand access included for no cost as a part of any attendee registration.

R. Event Content Disclaimer

The views, information, and opinions expressed during GSM events by presenters, emcees, sponsors or participants are solely those of the individuals involved and do not necessarily represent those of GSM. E. Event Platform Limits of Liability

GSM will not be held liable for participants who are unable to access or use the platform due to issues with their personal viewing environment, including, but not limited to, hardware, software, internet or power issues in the participant’s local area. GSM is not responsible for any impacts to the network, hardware, software or peripherals that participants use to access the virtual platform, including malware, viruses, and any other adverse impacts beyond the control of GSM.

Temporary interruption of service or platform availability due to venue internet disruption, bandwidth issues, venue power outage, network attacks or similar events, or any circumstance listed under Section 3I, causing a portion of livestreams to be unavailable will not be cause for Refunds or other remunerations outside of the eligibility and process explained in Section 3. GSM will make every reasonable effort to get platform service running as soon as possible and make recordings and session materials available for on-demand viewing. Event Cancellation or Rescheduling for circumstances outside of GSM’s control is explained under Section 3I.

F. No Video/Audio Recording by Participants

No sessions or any part of the event program on the Event Platform (including, but not limited to, livestreams, general sessions, keynotes, breakout sessions, workshops, chat rooms and other interactive features such as video chats and meetings) may be video or audio recorded by any event participants (whether recording for personal use or for social media), unless explicitly given permission for a particular segment by GSM event organizers.

G. Online Event Participant Code of Conduct

GSM reserves the right to revoke, without refund, the login credentials of any attendee in violation of any of our Terms & Conditions or policies. In addition to these Terms & Conditions, speakers and sponsors also have additional terms outlined in separate agreements.
